Terms and Conditions.
1. Introduction
This Agreement ("Agreement") is entered into by and between the member ("member") and Artisan MRKT, collectively referred to as the "Parties," for the purpose of establishing terms and conditions related to the display and sale of goods at Artisan MRKT retail locations (the "Property").
1.1 Initial Membership Commitment
All new memberships require an initial three (3) month commitment, regardless of the size or type of display or shelving selected. During this initial period, the membership cannot be cancelled.
After the initial three (3) month term, the membership will automatically continue on a month-to-month basis unless cancelled in accordance with the standard cancellation policy. A minimum of thirty (30) days written notice must be submitted through the official membership cancellation request form, and the security deposit will be applied toward the final month of membership.
2. Goods and Pricing
2.1 Goods Selection and Display
The Member agrees to provide a selection of goods (“Goods”) exclusively chosen by the Member for sale at the Property. The Goods will be displayed at a Space agreed upon by both the Member and Artisan MRKT. Artisan MRKT reserves the right to relocate the Member’s Goods to an alternate but equivalent Space on the Property at any time and without notice, for reasons including, but not limited to, remerchandising and loss prevention.
2.2 Third party intellectual property rights Policy
All goods must be accurately described and must not infringe upon any third party intellectual property rights. If goods infringe on third party intellectual rights, Artisan MRKT assume no responsibility for the infringement and it falls entirely on the member of the goods.
2.3 Base Price and Processing Fee
The member shall set the base sale price ("Base Price") for each Goods item, inclusive of all applicable sales taxes. Artisan MRKT will add thirteen percent (13%) as a processing fee ("Processing Fee") to the retail price at checkout, with Artisan MRKT retaining the Processing Fee following the sale.
2.4 Payment for Goods Sold
Artisan MRKT will pay the member the base price for all goods sold at Artisan MRKT retail locations. Sales are directly deposited into the members bank account based on Artisan MRKT Payouts Schedule.
2.5 Non-Refundable Deposit and Last Month’s Membership Fee
To secure your spot at Artisan MRKT, a non-refundable deposit equivalent to your last month’s membership fee is required. This deposit will be held and applied to your final month of membership, as Artisan MRKT requires a minimum of 30 days’ written notice to terminate your membership.
If you choose not to proceed with your membership after submitting the deposit, the amount will be forfeited in full. The deposit is non-refundable under any circumstances, regardless of whether or not your membership is finalized.
3. Memberships Fees
3.1 Membership Fees
The member agrees to provide the Goods in exchange for a Membership fee ("Membership"), as outlined below. All Membership fees will be collected via automatic withdrawal from the member's credit card on file on the payment due date each month. Artisan MRKT will implement the Past Due / Late Payment Policies for past due payments.
3.2 Payment Schedule
Artisan MRKT will bill members for Membership fees seven days in advance to allow for a buffer period for any payment issues.
3.3 Administrative Office Hours
The Administrative Office of Artisan MRKT operates Monday to Friday from 8:00 AM to 4:00 PM Eastern Standard Time (EST). The Administrative Office is closed on Saturdays, Sundays, and Ontario statutory holidays. Any request submitted outside of these hours will be deemed received on the next business day.
3.3.1 Administrative Response Time
The Administrative Office aims to respond to all inquiries within one (1) to three (3) business days. Response times are calculated based on business days only and do not include weekends or Ontario statutory holidays.
4. Members' Responsibilities
4.1 Goods Delivery and Display:
The member is responsible for delivering Goods to Artisan MRKT and preparing them for display at the agreed-upon Space during pre-booked scheduled times.
4.1.1 Third-Party / Collaborative Products Policy
To maintain product integrity, accurate accounting, and compliance with Artisan MRKT policies, all members must adhere to the following:

Pre-Approval Required:
Members must declare and obtain written pre-approval from Artisan MRKT before bringing any items that are:
• Not produced or designed by the member
• Created or supplied by another maker, vendor, or business
• Part of any collaboration, co-branded product, or joint project
2. Active Member Requirement:
If the collaborating party is not an active, paying member of Artisan MRKT, their products cannot be sold at Artisan MRKT unless explicitly approved in advance by Artisan MRKT.
Any exception is granted solely at the discretion of Artisan MRKT and may require a separate written agreement outlining responsibilities, payment allocations, and compliance requirements. Without such approval, items made by non-active members or third parties are strictly prohibited from being displayed or sold, even if an active member contributed to or partially created them.

Separate Agreement Requirement:
If the collaborating party is an active member, Artisan MRKT may require a separate signed agreement outlining:
• Revenue distribution
• Reporting and payout structure
• Tax compliance and documentation
• Shelf assignment and display permissions
• Proper labeling and vendor codes
No collaborative items may be sold until this agreement is executed. -
Space-Sharing Restrictions:
Exceptions may only be considered if the member is not already sharing a Split Shelf. Approval is not guaranteed. -
Right to Decline or Remove:
Artisan MRKT reserves the right to:
• Decline approval of collaborative or third-party items
• Remove unapproved items at any time
• Halt sales immediately
• Require members to remove such products at their own expense
Repeated or intentional violations may result in membership termination. -
Misrepresentation:
Displaying items created by someone else without disclosure is considered misleading to customers, a policy violation, and grounds for corrective action. The member assumes all legal, financial, tax, and operational responsibility for undisclosed third-party items.
4.2 Space Maintenance
The member must maintain and organize their designated Space, ensuring it is regularly set up, decorated, and restocked. With the exception of members located out of province or town, with your permission and upon receipt of your shipments, you can send us an email and a picture of your ideal display is recommended, and we will gladly restock the items on your behalf.
4.3 Restock Policy
The member agrees to visit the Property during designated operating hours. Please note that we are closed on Statutory holidays. All restocking and shelf adjustments must be done during pre-booked time slots via the booking page. Notify staff at least 24 hours in advance at cabbagetown@artisanmrkt.ca. DMs will not be monitored. If you can't make your appointment, cancel and reschedule to free up the slot.
• Products without labels cannot be sold.
• Labeling must be done at your workspace, not in the store.
• Keep the space clean and free of trash.
• Exceptions for in-store labeling:
○ Fixing mislabeled products
○ Running promotions or price adjustments
○ Adjusting item codes
4.4 Membership Fee Payment
The member is responsible for paying membership fees to Artisan MRKT on time.
4.5 Loss and Damage
The Member assumes responsibility for any loss or damage to Goods, displays, or related materials, including during shipping, handling, or while on the Property.
4.5.1 Inventory Tracking & Discrepancies
The Member acknowledges that MVPOS is provided solely as a tool to assist Members in tracking their own inventory and sales. All inventory entries, quantities, pricing, and related records entered into MVPOS are the sole responsibility of the Member.
Artisan MRKT does not verify, audit, or manage inventory records and does not track individual units or stock levels on behalf of Members. As a result, any discrepancies, including but not limited to miscounts, missing items, data entry errors, or variances between physical inventory and MVPOS records, remain the sole responsibility of the Member.
In alignment with Section 4.5, Artisan MRKT shall not be held liable for any inventory discrepancies, loss, or unaccounted items.
4.6 Tax Collection and Remittance
The member is responsible for collecting and remitting any applicable sales taxes promptly, as stipulated by law, indemnifying Artisan MRKT for any failure to do so.
4.7 Insurance Requirements
Artisan MRKT highly recommends that members obtain applicable Business Liability Insurance and Certificates for Goods. Requirements apply to specific categories, as detailed on Canada.ca/Insurance.
4.8 Conflict of Interest
Members who are actively selling their Goods at Artisan MRKT are prohibited from concurrently operating their own standalone physical store, offering the same or similar goods and/or business model. Members found in violation may face corrective actions, including potential termination of their participation at Artisan MRKT.
4.9 Removal of Goods
As part of Artisan MRKT' Terms and conditions, we retain the right to remove Goods or members' displays if, at our discretion, they are deemed offensive or inconsistent with advertising standards.
4.10 Dos and Don’ts
The member is obligated to comply with Artisan MRKT dos and don’ts, as outlined on the membership FAQ page. Any breach of the Artisan MRKT dos and don'ts will result in immediate termination of membership and move out within 48 hours.
5. Membership Terms
5.1 Membership and renewal
All memberships are for a duration of one(1) month and will automatically renew unless a proper 30-day notice via a membership cancellation form is provided beforehand. Membership fees will be collected prior to the start of the following month.
5.2 Holiday Move Out Blackout Period
A blackout period exists from December 10 to January 31, during which End Term Notices submitted between November 11 and December 30 will be processed on December 31.
5.3 Ending Your Agreement
Notice to end your membership must be submitted via the Membership Cancellation request Form, at least 30 days prior to completing the Membership. Email does not qualify has providing notice to cancel your membership. Please complete the Membership Cancellation Request form should you wish to end your contract, and not renew for another month. Once your form is submitted your move out date will be 1 month post submission. A confirmation message will appear once your form has been submitted.
As per membership contracts, all memberships renew if proper notice is not provided. Please refer to your invoice to find the dates of your specific account.
A membership will remain active, and all applicable fees will continue to be charged, until the required Cancellation Form has been properly submitted and acknowledged by the Administrative Office.
5.3.1 Automatic Renewal
All memberships automatically renew on the scheduled renewal date using the payment method on file. By enrolling in a membership, the Member expressly authorizes Artisan MRKT to charge the applicable membership fees on a recurring basis unless and until a formal cancellation request is submitted and processed in accordance with these Terms.
5.4 Termination of Memberships:
Artisan MRKT reserves the right to terminate memberships for various reasons, including but not limited to, non-compliance with store policies, member dos and don'ts, terms and conditions low monthly sales, unpaid invoices, or disputes related to Membership payments.
5.4.1 Weekend Cancellation & Refund Policy
Any Membership Cancellation Form received on a Saturday, Sunday, or Ontario statutory holiday will be deemed received on the next business day and processed during Administrative Office hours.
If a renewal payment is processed prior to the review and processing of a valid Cancellation Form, the Member shall be eligible for a refund of the renewal amount less any applicable merchant processing fees incurred by Artisan MRKT.
Merchant processing fees are strictly non-refundable under all circumstances and will be deducted from any refund issued.
5.5 Disclaimer Use of CRM Tool and Customer Data
Artisan MRKT utilizes a Customer Relationship Management (CRM) tool to efficiently manage customer communications and interactions. The data collected and stored within this CRM tool are for the sole purpose of facilitating communication between Artisan MRKT and its customers.
By providing your information and engaging with Artisan MRKT, you consent to the collection and use of your data for communication purposes only. We are committed to safeguarding your privacy and ensuring that your personal information is handled with the utmost care and confidentiality.
Artisan MRKT does not share, sell, or distribute customer data to third parties for any purpose other than facilitating communication and providing services to our customers. We take appropriate measures to protect the security and integrity of the data stored within our CRM tool.
While every effort is made to ensure the accuracy and security of the data, Artisan MRKT shall not be held liable for any damages or losses arising from unauthorized access, misuse, or disclosure of customer data beyond our reasonable control.
By engaging with Artisan MRKT and providing your information, you acknowledge and accept the terms outlined in this disclaimer regarding the use of CRM tools for storing and managing customer data.

5.6 Stripe User Agreement
Payment processing services for Artisan MRKT's members at Artisan MRKT are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to this agreement or continuing to operate as a member of Artisan MRKT at Artisan MRKT, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Artisan MRKT enabling payment processing services through Stripe, you agree to provide Artisan MRKT accurate and complete information about you and your business, and you authorize Artisan MRKT to share it and transaction information related to your use of the payment processing services provided by Stripe.
6. Terms and Conditions for Product Sourcing and Resale
6.1. Product Authenticity and Sourcing
By agreeing to these terms, the Member certifies that all products submitted for sale are original and not sourced wholesale from third-party platforms such as but not limited to AliExpress, Amazon, Temu, Alibaba, or similar, to be resold unaltered. All products must be handmade, hand-designed, uniquely crafted, or substantially modified to ensure their authenticity and uniqueness.
6.2. Compliance and Integrity
Members must ensure full compliance with this policy at all times. The Member acknowledges that misrepresentation of product sourcing or resale of unmodified wholesale items constitutes a breach of trust and is strictly prohibited.
6.3. Monitoring and Enforcement
We reserve the right to monitor and verify product authenticity at any time. If a Vendor is found to be in violation of this policy, the following actions will be taken:
• Immediate removal of the violating products from the store.
• Termination of the Vendor’s membership without the option of a refund.
• Possible disqualification from future participation.
6.4. Member Responsibility
The Member accepts full responsibility for ensuring their products adhere to this policy. Any attempts to circumvent this policy by misrepresenting the origin, nature, or authenticity of products will be considered a deliberate violation.
6.5. Acknowledgment and Agreement
By listing products for sale, the Member acknowledges their understanding and acceptance of these terms. This agreement is binding and non-negotiable.
7. AI-Generated Art Policy
At Artisan MRKT, we are committed to showcasing original, work by our talented artisans. We do not accept AI-generated art of any kind. If an artist is found to be displaying AI-generated work, their items will be immediately removed from their display, and their membership fee will not be refunded.
By participating in Artisan MRKT, all members agree to uphold this policy and maintain the integrity of our creative community.
8. Social Media Policy
As part of your membership, we will seldomly highlight the products you bring to our store in some of our posts and reels. While we strive to tag and invite vendors to collaborate when possible, this will depend on the availability of collaborator slots.
We reserve the right to decline or remove any social media posts or tags that do not align with our values and brand. Similarly, while we encourage tagging us in your posts, we may choose to repost or remove tags at our discretion if they don’t align with our values.
Please note that members are also expected to actively promote their own products and business. Artisan MRKT's social media efforts are designed to supplement your promotional activities, but members should not rely solely on Artisan MRKT to promote their business.
Our goal is to create a cohesive and supportive environment that reflects our shared brand vision while showcasing your business to its fullest potential.
9. Collaboration & Membership Policy
At Artisan MRKT, we value our community of artists and members and occasionally collaborate with select individuals to create workshops and events that align with our brand and customer base. While we appreciate the creativity and talent within our membership, signing up for a membership does not guarantee a collaboration opportunity.
We carefully curate partnerships based on what we believe will be the best fit for our store and customers. All collaboration decisions, including workshop selections and featured artists, are made at our sole discretion. Artisan MRKT reserves the right to determine which partnerships will be most beneficial and aligned with our brand vision.
Our goal is to foster meaningful and impactful collaborations that enhance the experience of our customers while maintaining the integrity and direction of Artisan MRKT.
10. Artisan MRKT Split Shelving Program
Shelf Assignment
○ Artisan MRKT will assign all Split Shelves.
○ Shelves will only be divided vertically (top/bottom).
○ While category exclusivity cannot be guaranteed, Artisan MRKT will make reasonable efforts not to assign two artisans from the same category to the same Split Shelf.
Shared Space Responsibilities
○ Each member is responsible for maintaining their own designated section of the shelf.
○ Members must not encroach upon, rearrange, or interfere with the other member’s space, products, or displays.
○ Members agree to respect and adhere to the shared nature of the Split Shelf arrangement.
Conflict Resolution
○ Any concerns, disputes, or issues related to the Split Shelf must be reported directly to Artisan MRKT management.
○ Members may not attempt to resolve disputes directly with the other member in a manner that disrupts store operations.
Breach of Contract
○ Failure to respect the shared shelf arrangement, Artisan MRKT policies, or the other participating member constitutes a breach of contract.
○ Artisan MRKT reserves the right to terminate the member’s contract immediately in the event of such a breach.
- Non-Exclusivity, Non-Monopoly & Fair Application Clause
Artisan MRKT operates as a non-exclusive, non-monopoly marketplace. Acceptance into the marketplace does not grant an Artisan exclusivity within any product category, style, medium, or price point.
Artisan MRKT reserves the right to onboard additional Artisans offering similar or overlapping products at any time.
To support a fair and inclusive marketplace, Artisan MRKT reviews applications on a rolling basis and aims to provide equal consideration to all applicants. Opportunities to join the marketplace are generally offered based on the order in which complete applications are received, subject to space availability, product mix, and operational needs at the time of review.
Artisan onboarding and space allocation are determined by factors including, but not limited to:
- Availability of space
- Timing of applications
- Overall balance and diversity of products within the marketplace
- Operational and business considerations
Artisan MRKT makes no guarantees regarding:
- Category exclusivity
- Sales performance or minimum earnings
- Continued placement in any specific product category is not guaranteed and may change based on space availability and overall marketplace needs.
By participating in the marketplace, the Artisan acknowledges and agrees that collaboration, variety, and equal opportunity are core to the Artisan MRKT model, and that multiple Artisans may offer similar products simultaneously.
- Return Shipping & Handling for Out-of-Town Members
Members who are unable to retrieve their items in person and request Artisan MRKT to remove, pack, and ship their goods back will be subject to a $50 removal and handling fee. All shipping and courier costs are the responsibility of the Member.
The Member must provide a complete and accurate mailing address, and all shipments will be sent with signature required upon delivery. Artisan MRKT will generate an invoice for the removal/handling fee and estimated shipping costs. The invoice must be paid in full before any items are packed and shipped.
Artisan MRKT is not responsible for delays, loss, or damage caused by the courier once the package has been handed over for shipment.
13. Amendments to Policy
We reserve the right to amend these terms and conditions at any time. Members will be notified of any changes, and continued participation will constitute acceptance of the revised terms.
